These Terms of Service (“Terms”) govern your access to and use of the GridOptic website, platform, data, and related services (together, the “Service”). The Service is operated by GRIDOPTIC LTD, a company registered in England and Wales under company number 17350559, with its registered office at Unit 720, Catalyst House, Centennial Avenue, Borehamwood, WD6 3SY, United Kingdom (“GridOptic”, “we”, “us”, or “our”).
Please read these Terms carefully. They contain important provisions about the nature of our data, the limitation of our liability, and the basis on which the Service is provided. They are intended for use by businesses; the Service is not offered to consumers.
By creating an account, subscribing to, accessing, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Service.
If you are entering into these Terms on behalf of a company or other legal entity (your “Organisation”), you represent and warrant that you have the authority to bind that Organisation, and references to “you” in these Terms mean both you and your Organisation. The Service is offered to businesses acting in the course of their trade, business, craft, or profession, and not to consumers.
To use the Service you must be at least 18 years old and capable of forming a binding contract. You must provide accurate and complete registration information and keep it up to date.
You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify us promptly at [email protected] if you suspect any unauthorised use. Unless your plan expressly permits it, Accounts and login credentials are for named Users and must not be shared. You are responsible for ensuring that your Users comply with these Terms.
Access to paid features of the Service requires a Subscription. The Fees, billing frequency (for example monthly or annual), and the features included in each plan are set out on our pricing page or in an order agreed with you at the time of purchase.
Subject to your compliance with these Terms and payment of applicable Fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service and the Content for your own internal business purposes during your Subscription term.
You may use outputs of the Service (such as reports and analyses you generate) internally, and may share reasonable extracts with your professional advisers and within your Organisation, provided our rights are respected and any attribution we require is preserved. All rights not expressly granted are reserved to us and our licensors.
The Service incorporates and analyses data published by Distribution Network Operators, the National Energy System Operator, government bodies, and other third-party sources. That source material remains subject to the licence terms, notices, attribution rules, and disclaimer language applied by the relevant publisher.
As between you and GridOptic, we grant access to our compiled platform, methodology, and analytics under these Terms, but we do not grant you any broader rights in the underlying third-party source datasets than the applicable publisher permits. Where an export, report, or screen reproduces publisher notices or attribution text, you must not remove, obscure, or alter them.
References in the Service to DNOs, NESO, regulators, and public bodies are descriptive only. Their names, marks, and materials remain the property of their respective owners, and use of the Service does not create any partnership, endorsement, or agency between GridOptic and those bodies.
You agree that you and your Users will not:
We may monitor use of the Service to ensure compliance with these Terms and to protect the Service, and we may enforce usage limits.
The Service and all Content — including the platform software, user interface, data model, the compilation, structuring, enrichment, and rating of Public Data, and all proprietary analytics, indices, scores, and benchmarks such as the GO-LFI — are owned by us or our licensors and are protected by copyright, database rights, trade-mark, and other intellectual property laws. The name “GridOptic”, our logos, and the GO-LFI are our trade marks.
Our proprietary indices, ratings, and analytics are the result of our own methodology and investment, and are not open data. While the underlying Public Data is sourced from third parties and remains subject to those third parties’ own open-data licences, the selection, arrangement, transformation, and analytical output we produce from it are proprietary to GridOptic. Nothing in these Terms transfers ownership of the Service or the Content to you.
If you provide us with feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or obligation to you.
This section is fundamental to your use of the Service. By using the Service you acknowledge and accept it.
GridOptic provides indicative, evidence-rated commercial intelligence derived from publicly available data. It is not investment, financial, legal, engineering, or professional advice; it is not a forecast, promise, or guarantee of revenue, returns, or earnings; and it is not a warranty or assurance of any grid connection, flexibility contract, procurement, or other outcome.
Our outputs — including benchmarks, £/MW/year figures, the GO-LFI, and confidence ratings — are estimates and probabilities based on incomplete, third-party data that changes over time. They are expressly labelled with confidence and evidence indicators, and thin-evidence outputs carry wide uncertainty. Network conditions, requirements, prices, and connection outcomes are determined by third parties (including network operators, the National Energy System Operator, market participants, and regulators) and are outside our control.
You must independently verify any data, and take your own professional advice, before making any investment, development, connection, or commercial decision. You use the Service and rely on its outputs entirely at your own risk.
We source Public Data from third parties and do not control its accuracy, completeness, or timeliness. We are not responsible for errors or omissions in Public Data, or for decisions made in reliance on it or on our analysis of it.
The Service and all Content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, conditions, and representations of any kind, whether express, implied, or statutory, including any implied warranties or conditions of satisfactory quality, fitness for a particular purpose, accuracy, non-infringement, and quiet enjoyment.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any Content is accurate, complete, current, or will produce any particular result. Any availability targets or service levels apply only if expressly agreed in a separate written agreement.
Nothing in these Terms excludes or limits either party’s liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the laws of England and Wales.
Subject to the paragraph above, and to the fullest extent permitted by law:
Subject to the first paragraph of this section, our total aggregate liability arising out of or in connection with these Terms and the Service, whether in contract, tort, or otherwise, will not exceed the greater of (a) the total Fees paid by you for the Service in the 12 months immediately preceding the event giving rise to the claim, and (b) £100. The parties agree that this allocation of risk is reasonable given the nature of the Service and the Fees.
You agree to indemnify and hold harmless GridOptic and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and reasonable expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your misuse of the Service or the Content; (c) your infringement of any third-party right; or (d) your breach of any applicable law. We will notify you of any such claim and may, at your expense, participate in its defence.
Each party may receive confidential information of the other in connection with the Service, including our non-public methodology, pricing, and Content, and your non-public business information. Each party agrees to keep the other’s confidential information confidential, to use it only to perform its obligations or exercise its rights under these Terms, and to protect it with at least reasonable care. This does not apply to information that is or becomes public through no fault of the receiving party, is independently developed, or must be disclosed by law (in which case reasonable notice will be given where lawful).
These Terms apply from when you first access the Service and continue while you use it or hold an Account.
We continuously develop the Service and may add, modify, or remove features from time to time. We may also update these Terms to reflect changes in the Service, the law, or our business. When we make material changes to these Terms, we will update the “Last updated” date and, where appropriate, notify you by email or through the Service. Changes take effect from the date stated, and your continued use of the Service after that date constitutes acceptance. If you do not accept the changes, you must stop using the Service.
We will not be liable for any failure or delay in performing our obligations to the extent it is caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, epidemic or pandemic, industrial action, failure of utilities or telecommunications, internet or hosting-provider outages, and changes in law or regulation.
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or formation, are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
